The features of organizational and economic mechanisms of corporate governance are revealed. The methodical approaches to the assessment of the quality of the mechanisms of corporate governance of the company are grounded and improved, taking into account their division into organizational and economic. The directions of formation of mechanisms of corporate governance are proposed and the effectiveness of measures aimed at their improvement is estimated. In order to form a personnel reserve of the supervisory board from representatives of shareholders and independent directors, the system of corporate governance bodies has been improved by including in it a collective advisory body under the supervisory board. A mechanism has been developed on the basis of which it is suggested to select candidates from shareholders and independent directors in the collective advisory body and criteria for assessing their suitability for work in the supervisory board. An economic-mathematical model is developed that associates the financial result of the company's activity and the value of the ball quality assessments of the mechanisms of the activities of the supervisory board and the executive body.
