Subject of the research - theoretical, methodological and applied aspects of the institutionalization of corporate governance in transitive economy. The aim of the research - the study of theory and synthesis of world and domestic experience in corporate governance, the development of proposals for improving the current system of corporate governance in Ukraine. Methods: institutional-evolutionary, theoretical generalization and comparison, systematic approach. Results and scientific novelty: he nature of the institute of corporate governance as a result of the historical evolution of corporate relations in the field of entrepreneurship has been clarified; it has been proven, that the most constructive methodological basis for understanding the nature and characteristics of national corporate governance models is the institutional-evolutionary theory; it has been stated, that the existing in Ukraine model of corporate governance is of a transitional nature, and developed on the basis of the processes of primary accumulation of national private capital and as such, artificially protected from the stock market ; the evolution of the corporate governance system in Ukraine has been studied and the determinants of its development at the present time have been defined; the integrated study of the specifics of corporate governance in Ukraine has been further developed; typical institutional barriers of improving corporate governance model have been specified. On the basis of generalization of world experience it is stated, that one of the priorities of the economic policy of the state should be the strategy for the cultivation of effective institutions to optimize the relationship of corporate ownership. The proposals to establish mechanisms to encourage economic agents to optimize institutional cooperation have beed developed. The issues of developing nationwide corporate culture under the relations of the state, business and society, the principles of formation of strategy of social partnership have bead further developed.
