Conclusion has been made concerning Draft Law of Ukraine on Corporatization of State-Owned Companies, which was submitted to Special Control Commission of Ukraine's Verkhovna Rada on Privatization. Qualification was made that passing controlling packages of corporatized companies to non-government authorized persons contains risks of hidden non-payment privatization of such companies. It is recommended to restrict passing controlling packages of shares to the sphere of management of non-government legal or physical persons. The authors consider the issue of improving the management of the state's corporate rights in authorized capital of joint-stock companies, in particular, big state-owned companies named "national joint-stock companies" (NAKs), "state joint-stock companies" (DAKs) or "state joint-stock holding companies" (DAHKs) and other holding companies. Subjects and objects of such management and their subordination are determined. The authors analyze the foundations of the state's corporate dividend policy as a tool of management in joint stock companies. They make a conclusion about the questionable character of the statement, according to which a company's investment attractiveness is determined by the amount of paid (calculated) dividends. They prove that a more important indicator of investment attractiveness is gross amount of corporate profit and the rate of increase in the emitent's capitalization (market value).
